  14.           (hereinafter referred to as "Recipient") hereby agree as follows:
  15.           
  16.           1. The parties agree that it is necessary and desirable that <* 
  17.           Your Software Company Name Here *> (hereinafter referred to as 
  18.           "Software Company") disclose to Recipient confidential information 
  19.           (hereinafter referred to as "Software Information") concerning any 
  20.           or all of the current, future, or proposed products, pricing 
  21.           policies, marketing programs, etc.;
  22.           
  23.           2. Recipient agrees that the Software Information shall be used 
  24.           solely for beta testing.
  25.           
  26.           3. Recipient shall not communicate the Software Information to 
  27.           any other third party and shall use its best efforts to prevent 
  28.           inadvertent disclosure of Software Information to any third party. 
  29.           
  30.           
  31.           4. Recipient shall neither use the Software Information nor 
  32.           circulate it within its own organization except to the extent 
  33.           necessary for beta testing discussions with authorized 
  34.           representatives of the Software Company.
  35.           
  36.           5. The obligations of 2, 3, and 4 above shall terminate with 
  37.           respect to any particular portion of the Software Information if:
  38.           
  39.               (a) it was on the public domain at the time of the Software 
  40.           Companies communication therefor to Recipient;
  41.           
  42.               (b) it entered the public domain through no fault of 
  43.           Recipient subsequent to the time the Software Companies 
  44.           communication therefor to Recipient;
  45.           
  46.               (c) it was in Recipients possession free of any obligation of 
  47.           confidence at the time the Software Companies communication 
  48.           thereof to Recipient;
  49.           
  50.               (d) it was rightfully communicated to the Recipient free of 
  51.           any obligation of confidence subsequent to the time of the 
  52.           Software Companies communication thereof to Recipient;
  53.           
  54.               (e) it was developed by employees or agents of Recipient 
  55.           independently of and without reference to any Software Information 
  56.           or any other information that the Software Company has disclosed 
  57.           in confidence to any third party; or
  58.           
  59.               (f) when it was communicated by the Software Company to a 
  60.           third party free of any obligation of confidence.

  68.           6. Communications from Recipient to personnel and authorized 
  69.           representatives of the Software Company shall not be in violation 
  70.           of the proprietary rights of any third party and shall be made 
  71.           without any obligation of confidence.

  73.           7. This agreement shall govern all communication between the 
  74.           Software Company and Recipient during the period from the date of 
  75.           the agreement to the date on which which either party receives 
  76.           from the other written notice that subsequent communications shall 
  77.           not be so governed.

  79.           8. This agreement shall be construed in accordance with the laws
